A RESOLUTION AUTHORIZING CITY MANAGER TO APPLY FOR AN EXEMPTION FROM
CONFLICT OF INTEREST RULES TO ALLOW RVCOG STAFF TO ADMINISTER CDBG GRANT FOR
FOOD BANK COMMERCIAL KITCHEN
RECITALS:
A. WHEREAS, the City is applying for a CDBG Grant for the RVCOG Food Bank
Commercial Kitchen Project; and
B. WHEREAS, the Rogue Valley Council of Governments (RVCOG) is the owner of the
property upon which the Commercial Kitchen will be constructed and will therefore
be a subrecipient of the grant; and
C. WHEREAS, RVCOG is the Area Agency on Aging for Jackson and Josephine Counties
and is responsible for the preparation and distribution of a total of 250,000 home
delivered and congregate senior meals annually; and
D. WHEREAS, once the Food Bank Commercial Kitchen project is completed, RVCOG
will transition meal preparation for the senior meals program to the facility and will
operate and maintain the facility for these purposes; and
E. WHEREAS, the City of Central Point and RVCOG have entered into an
Intergovernmental Agreement (IGA) outlining the roles and responsibilities for each
entity; and
F. WHEREAS, RVCOG will indirectly receive the CDBG funds from the City pursuant to
the IGA; and
G. WHEREAS, Peter Town, Grants and Contracts Administrator, Greg Stabach, Natural
Resources Program Director, and their administrative support staff, who are all
employed by the RVCOG, to perform grant administration, environmental review,
and labor standard compliance duties for the above referenced project and all of
their salaries are paid by RVCOG; and
H. WHEREAS, Oregon ethics laws prohibit Peter Town, Greg Stabach, and their
administrative support staff from obtaining a financial interest or benefit from the
activity; and
I. WHEREAS, Title 24 of the Housing and Urban Development Code, subpart 1, Section
570.489(4) allows a local government to apply to the State for an exception to the
conflict rules; and
J. WHEREAS, the City Attorney for the City of Central Point has reviewed the legal
requirements for an exemption to the Conflict of Interest Rules and the proposed
findings and has concluded that the subject conflict of interest does not violate state
or local law as provided in the attached legal opinion; and
K. WHEREAS, Council find that the requirements to establish an ex emption to the
conflict of interest rules under 24 CFR Section 570.489(h)(5) are found to be met,
the complete findings of which are attached to this Resolution in the Conflict of
Interest Exception Letter; and

L. WHEREAS, Council finds that allowing RVCOG staff to administer the grant would
further the program and provide efficiencies of service and a significant cost benefit
as RVCOG’s administrative staff have expertise in grant administration,
environmental review and project management and have been successful in other
CDBG projects over the years; and
M. WHEREAS, based on the foregoing, the Council finds it is in the public interest to
authorize the City Manager to execute the attached Conflict of Interest Exception
Letter and to take such steps necessary to submit the request to Business Oregon.
THE CITY OF CENTRAL POINT RESOLVES AS FOLLOWS:
SECTION 1. The Council finds that the requirements to apply for an exemption from Conflict of
Interest Rules under 24 CFR 570.489(h)(5) are satisfied as provided in the Conflict of Interest
Exception Letter attached hereto and that the exemption is in the public benefit and furthers
the purpose and efficiencies of the project;
SECTION 2. The Council authorizes the City Manager to sign the attached Conflict of Interest
Exception Letter and to take such steps necessary to effectuate the request.
SECTION 3. This Resolution becomes effective immediately upon its passage.
PASSED by the Council and signed by me in authentication of its passage this 13th day of
August, 2026.
