Contracts and Agreements No. 33335 I A136-G0092418 AMENDMENT NUMBER 03 INTERGOVERNMENTAL AGREEMENT OR99: 1-5 to Scenic Ave. This is Amendment No. 03 to the Agreement between the State of Oregon, acting by and through its Department of Transportation, hereinafter referred to as "State," or "ODOT," the City of Central Point, acting by and through its elected officials, hereinafter referred to as "City," and Jackson County, acting by and through its Board of Commissioners, hereinafter referred to as "County," entered into on September 3, 2019, Amendment Number 01 on March 15, 2021 and Amendment Number 02 on October 14, 2021. It has now been determined by State, City and County that the Agreement referenced above shall be amended to a change in obligations. 1. Effective Date. This Amendment shall become effective on the date it is fully executed and approved as required by applicable law. 2. Amendment to Agreement. Revised Exhibit A shall be deleted in its entirety and replaced with the attached Revised Exhibit A-1. All references to "Revised Exhibit A" shall hereinafter be referred to as "Revised Exhibit A-1." a. TERMS OF AGREEMENT, Paragraph 1, Page 2, which reads: 1. Under such authority, State, City and County agree that State shall design and construct the OR 99: 1-5 to Scenic Ave. project, hereinafter referred to as "Project". The Project includes converting the current four (4) lane roadway to a three (3) lane roadway with a continuous two (2) way left turn lane on OR 99 from MP 0.35 to MP 1.95, install a traffic signal at OR 99/Scenic Avenue intersection, reconstruct a pedestrian ramp, and upgrade the railroad crossing on Scenic Avenue. The location of the Project is approximately as shown on the sketch map attached hereto, marked Exhibit A, and by this reference made a part hereof. Also acting under such authority, State and City agree to jointly fund the Project as described herein. Shall be deleted in its entirety and replaced with the following: 1. Under such authority, State, City and County agree that State shall design and construct the OR 99: 1-5 to Scenic Ave. project, hereinafter referred to as "Project". The Project includes converting the current four (4) lane roadway to a three (3) lane roadway with a continuous two (2) way left turn lane on OR 99 from MP 0.35 to MP 1.95, install a traffic signal at OR 99/Scenic Avenue intersection, reconfigure the southeast pedestrian ramp at OR99/Scenic Avenue to include two pedestrian ramps, install new pedestrian ramps in the remaining State/City/County Agreement No. 33335 three quadrants at OR99/ Scenic Avenue, upgrade the railroad crossing on Scenic Avenue and relocate inlet, existing storm sewer pipe and install storm sewer manhole within City right of way. The location of the Project is approximately as shown on the sketch maps attached hereto, marked Revised Exhibit A-1, and by this reference made a part hereof. Also acting under such authority, State and City agree to jointly fund the Project as described herein. b. Insert new CITY OBLIGATIONS, Paragraphs 2 and 3, to read as follows: 2. City agrees to the relocation of inlet, relocation of existing storm sewer pipe and installation of storm sewer manhole behind sidewalk within the City right of way. 3. City shall retain jurisdication and contol of the southeast corner sidewalks, curbs and drainage and at its own expense shall maintain and operate these sidewalks, curbs and drainage. Upon completion of the Project, City shall be responsible for all mainteance including, but not limited to sidewalks, curbs and drainage for the SE corner of OR99/Scenic Avenue intersection. CITY OBLIGATIONS, Paragraphs 2 through 8, shall be hereinafter re-numbered as Paragraphs 4 through 10. c. Insert new STATE OBLIGATIONS, Paragraph 3, to read as follows: 3. State shall remove existing type CG-3 inlet on OR99, construct type G-3 inlet, remove or abandon existing storm sewer pipe, install storm sewer pipe, install a storm sewer manhole behind the sidewalk within City right of way, reconstruct the southeast pedestrian ramp on OR99/Scenic Avenue and construct new pedestrian ramps in the remaining three quadrants of the OR99/Scenic Avenue intersection. STATE OBLIGATIONS, Paragraphs 3 through 11, shall be hereinafter re-numbered as Paragraphs 4 through 12. 3. Counterparts. This Amendment may be executed in two or more counterparts (by facsimile or otherwise) each of which is an original and all of which when taken together are deemed one agreement binding on all Parties, notwithstanding that all Parties are not signatories to the same counterpart. 4. Original Agreement. Except as expressly amended above, all other terms and conditions of the original Agreement are still in full force and effect. Agency certifies that the representations, warranties and certifications in the original Agreement are true and correct as of the effective date of this Amendment and with the same effect as though made at the time of this Amendment. 2 State/City/County Agreement No. 33335 THE PARTIES, by execution of this Agreement, hereby acknowledge that their signing representatives have read this Agreement, understand it, and agree to be bound by its terms and conditions. This Project is in the 2021-2024 Statewide Transportation Improvement Program (STIP), (Key #20185) that was adopted by the Oregon Transportation Commission on July 15, 2020 (or subsequently by amendment to the STIP).
