THIS SERVICE CONTRACT ("CONTRACT') is made and entered in duplicate to
commenceon the i day of Mare to , 2019, between the City of Central Point, a
municipal corporation of the State of Oregon, acting as purchaser (hereinafter "City"), and
Mueller Systems, LLC, a Delaware limited liability company (hereinafter "Mueller" or
"Contractor"), together referred to as the Parties.
RECITALS:
1) WHEREAS, City requires hardware, software, and related services which Mueller is
capable of providing, under terms and conditions hereinafter described;
2) WHEREAS, time is of the essence in this Contract and all work under this Contract shall
be completed within the time period stated in the scope of work attached in Schedule I ("Scope
of Work").
AGREEMENT:
NOW, THEREFORE, for and in consideration of the foregoing and of the mutual
promises herein, the Parties mutually agree as follows:
ARTICLE l: RECITALS
The recitals set forth above are incorporated herein and deemed a material part of this Contract
ARTICLE 2. SCOPE OF PROVISION OF HARDWARE, SOFTWARE, AND SERVICES
Mueller agrees to provide, and City agrees to purchase, the following hardware, software, and
services under this Contract: Mueller's AMI technology referred to as "Mi.Net System",
electronic products, including hardware, software, and communication devices and other
equipment necessary to operate the Mi.Net System, and installation and other related services, and
AMI system design and integration, configuration, training, maintenance and support in
connection with the Mi.Net System (collectively, hereinafter the "Project").
For the purposes of this Contract, Mueller's provision ofthe above listed Hardware, Software, and
Services (as each of those is defined below) shall be collectively referred to as the "Work". The
Work is more fully described in the Scope of Work attached as Schedule 1 and incorporated herein
by this reference.
The general Scope of Work includes the following

A. Endpoints and Customer Information System Interface. The City desires to purchase a
Mi.Net System consisting of approximately 8,000 water meter endpoints which meet
the following functional criteria:
a. Successful transfer of customer information system ("CIS") data from the City
to Mueller's electronic data hosting environment referred to by Mueller as
"Mi.Host";
b. Successful acquisition of billing information from the City's water meters at a
rate as described in the Scope of Work; and
c. Successful transfer of the City's water meter billing information from the
Mi.Host back to the City's Springbrook billing system, version 7.15, as
described in the Scope of Work.
B. Hardware and Software. In addition to the endpoints described above, Mueller will sell
or provide the City a Mi.Net System that includes the following hardware and software
components:
a. Meters, Mueller's proprietary radios (each a "Mi.Node'), Mueller's proprietary
data collectors (each a "Mi.Hub'), Mueller's proprietary data repeaters (each a
"Mi.Repeater"), as further described in the Scope of Work and pricing sheets,
attached hereto as Schedule 2 ("Pricing Sheet") and incorporated by this
reference (collectively, the "Hardware"); and
b. Executable version of Mueller's web -based data hosting software referred to as
"Mi.Hosf", as installed on Mueller's systems and as further described in the
Scope of Work (collectively the "Software"), subject to the Mueller Systems
Master Agreement attached as Schedule 3 ("Master Agreement").
C. Services. In addition to the above -listed Hardware and Software, Mueller will provide
the following services (collectively, the "Services') for the City:
a. Installation of the network equipment, as described in the Scope of Work;
b. Project Management, as described in the Scope of Work;
c. Integration of meter data into the designated back office enterprise systems, as
described in the Scope of Work; and
d. Initial and ongoing training, as described in the Scope of Work;
e. In consideration of the City's payment of the support and maintenance fees set
forth in the Pricing Sheets, Mueller will provide the City with the maintenance
and support services described in the Scope of Work.
ARTICLE 2: CONTRACT DOCUMENTS
This Contract between the Parties consists of this Contract and the following Schedules,
incorporated herein by this reference, and attached hereto, which contain all the terms and
conditions of this Contract:

The Parties agree to be bound to all requirements of this Contract, including these Schedules.
ARTICLE 3: EFFECTIVE DATE, DURATION, AND SCHEDULE OF WORK
The term of this Contact shall commence on the date it is fust fully executed bythe City ("Effective
Date's and shall continue in full force and effect until completion of the Work or five (5) years
from the Effective Date, whichever comes first; unless otherwise terminated or extended. All Work
contemplated under this Contract shall be completed prior to the expiration of this Contract.
Expiration or termination of this Contract shall not extinguish or prejudice City's right to enforce
this Contract with respect to: (a) any breach of a warranty provided by Mueller; or (b) any default
or defect in Mueller's performance that has not been cured. Expiration or termination of this
Contract shall not extinguish or prejudice Mueller's right to enforce this Contract with respect to
City's obligations under Schedule 2 or Schedule 3.
All Work shall be performed in accordance with the schedules described in the Scope of Work.
Subject to the terms and conditions of this Contract, Mueller will use commercially reasonable
efforts to meet the timelines for Work as set forth in the Scope of Work.
If Mueller or the City anticipates that Mueller will not meet the timelines as set forth in the Scope
of Work, Mueller and the City shall meet to develop a revised Scope of Work, Project Schedule,
or both.
ARTICLE 4: COMPENSATION & BILLING
A. Pricing. All Work performed by Mueller for the Project shall be subject to and in
accordance with the pricing terms contained in the Pricing Sheet, attached hereto as
Schedule 2.
B. Payment. Payment shall be based upon the unit prices in the Pricing Sheet. Mueller shall
prepare and submit each month to the City's Finance Department, at the address provided
for notice in Article 30 herein, a statement of hardware, software, and services rendered,
together with a request for payment duly verified by Mueller's Representative. The
statement submitted should include a description of each service used in the Pricing Sheet
and the dollar amount of each service completed through the date of the statement of
services. Payment by the City shall release the City from any further obligation for payment
to Mueller for hardware, software, or services rendered or expenses incurred as of the date
of the statement of services. The City acknowledges and accepts the form of the sample

invoice, attached hereto as Schedule 4 ("Sample Invoice"), as the form to be used by

Payment of installments shall not be considered acceptance or approval of any work or
waiver of any defects therein. City certifies that sufficient funds are available and
authorized for expenditure to finance costs of this Contract. Mueller shall include proof of
payment to any and all subcontractors and suppliers with each statement submitted to the
City. The City shall retain the right to withhold payments if required proof of payment to
subcontractors and/or suppliers is not included with a statement.
Final Payment. Mueller shall notify the City in writing when Mueller considers the project
complete, and the City shall, within 10 days after receiving the written notice, either accept the
work or notify Mueller of work yet to be performed under this Contract. If accepted or not
rejected by the City within the above 10 -day period, the remaining balance due to Mueller,
including any retained percentage, shall be paid to Mueller by the City within 30 days after the
date of said acceptance. If payment is not provided to Mueller by City, the City shall pay to
Mueller interest at the rate of one and one half percent per month on the final payment due to
Mueller, to commence 30 days after the date of said acceptance and to inn until the date when
final payment is tendered to Mueller.
ARTICLE: 5: SOFTWARE LICENSE
The City's use and access ofthe Software shall be governed by the terms ofthe Master Agreement,
attached hereto as Schedule 3.
ARTICLE 6: PARTY REPRESENTATIVES

ARTICLE 7: INDEPENDENT CONTACTOR
A. Mueller shall perform the Work required by this Contract as an independent contractor.
Although the City reserves the right to (i) determine the delivery schedule for the Work to
be performed and (ii) to evaluate the quality ofthe completed performance, the City cannot
and will not control the means or manner of Mueller's performance. Mueller is responsible
for determining the appropriate means and manner of performing the Work.
B. Mueller represents and warrants that Mueller (i) is not an employee of the City, (ii) is not
currently employed by the Federal Government, and (iii) meets the specific independent
contractor standards of ORS 670.600. Mueller is not an "officer", "employee", or "agent"
of the City, as those terms are used in ORS 30.265.
C. Mueller shall be responsible for all federal or state taxes applicable to any compensation
or payments paid to Mueller under this contract and, unless Mueller is subject to backup
withholding, the City will not withhold from such compensation or payments any
amount(s) to cover Mueller's Federal or state tax obligations. Mueller is not eligible for
any federal Social Security, unemployment insurance, or workers' compensation benefits
from compensation or payments paid to Mueller under this Contract.
D. If Mueller is not domiciled in or registered to do business in the State of Oregon, Mueller
shall promptly provide to the Oregon Department of Revenue and the Secretary of State
Corporation Division all information required by those agencies relative to this Contract.
Mueller shall demonstrate its legal capacity to perform the services contemplated in this
Contract in the State of Oregon prior to entering into this Contract.
ARTICLE 8: SUBCONTRACTS AND ASSIGNMENT
A. Mueller, or its qualified subcontractor, will install the Hardware, as described in the Scope
of Work. Use of a subcontractor for installation of the Hardware must be approved in
writing by the City prior to installation of the Mi.Net System.
B. Except as specified above, Mueller shall not subcontract or assign any portion of the
Services to be performed under this Contract without the prior written approval ofthe City,
such approval to be given in the City's sole discretion. If the City approves the
subcontracting or assignment of any portion of the Services, the subcontractor or assignee
(collectively the "Subcontractor") shall fully comply with the insurance requirements set
forth in Article 21 of this Contract. The City and Mueller shall be named as additional
insured on the Subcontractor's Commercial General Liability Insurance Policy with regard
to the subcontracted or assigned services to be performed by the Subcontractor and a copy
of the endorsement naming the City and Mueller as additional insured shall be attached to
the Certificate of Insurance and provided to the City. Alternatively, Mueller shall have the

Subcontractor included as an additional insured on Mueller's Commercial General
Liability Insurance Policy and provide a copy of the endorsement to that affect with the
Certificate of Insurance provided to the City.
C. The City's consent to any subcontract shall not relieve Mueller of any of its duties or
obligations under this Contract. In the event of the use of a subcontractor, Mueller shall be
fully responsible for the acts or omissions of any subcontractors and of all persons
employed by them, and neither the approval of the City for the use of a subcontractor nor
anything contained herein shall be deemed to create a contractual relationship between the
Subcontractor and the City. This Contract, and all of the covenants and conditions hereof
shall insure to the benefit of and be binding up on the City and Mueller respectively and
their legal representatives. Mueller shall not assign any rights nor delegate any duties
incurred by this contractor, or any part hereof without the written consent of the City, which
shall not be unreasonably withheld.
ARTICLE 9: SUCCESSORS AND ASSIGNS
Neither party shall subcontract, assign, or transfer its interest in this Contract without the express
written consent of the other party, and such consent shall not be unreasonably withheld. The
provisions of this Contract shall be binding upon and shall inure to the benefit of the Parties
hereto,their respective successors and assigns.
ARTICLE 10: NO THIRD -PARTY BENEFICIARIES
The City and Mueller are the only parties to this Contract and are the only parties entitled to enforce
its terms. Nothing in this Contract gives, is intended to give, or shall be construed to give or
provide, any benefit or right, whether directly, indirectly, or otherwise, to third persons unless such
third persons are individually identified by name herein and expressly described as intended
beneficiaries of the terms of this Contract.
ARTICLE 11: NONDISCRIMINATION
No person shall be denied or subjected to discrimination in receipt of the benefits of any services
or activities made possible by or resulting from this Contract on the grounds ofrace, color, religion,
gender, sexual orientation, national origin, disability, age, or marital status. Any violation of this
provision shall be considered a material defect and grounds for termination of this Contract.
ARTICLE 12: FUNDS AVAILABLE AND AUTHORIZED
The City has sufficient funds currently available and authorized for expenditure to finance the
costs of this Contract within the City's fiscal year budget. Mueller understands and agrees that the
City's payment of amounts under this Contract attributable to work performed after the last day of
the current fiscal year is contingent on City appropriations, or other expenditures authority
sufficient to allow the City, in the exercise of its reasonable administrative discretion, to continue

to make payments under this Contract. In the event the City has insufficient appropriations,
limitations or other expenditure authority, the City may terminate this Contract without penalty or
liability to the City, effective upon the delivery of written notice to Mueller, with no further liability
to Mueller, except for as otherwise stated in this Contract.
ARTICLE 13: TERMINATION
This Contract may be terminated without cause prior to expiration by mutual written consent of
the Parties for any of the following reasons:
A. If work under the Contract is suspended by an order of a public agency for any reason
considered to be in the public interest other than by a labor dispute or by reason of any
third-partyjudicial proceeding relating to the work other than a suit or action filed in regard
to a labor dispute; or
B. If the circumstances or conditions are such that it is impracticable within a reasonable time
to proceed with a substantial portion of the Contract.
This Contract may be terminated by the City for cause immediately upon delivery of written notice
to Mueller or such later date as may be established by mutual agreement, under any of the
following conditions:
A. City funding from federal, state, local, or other sources is not obtained and continued at
levels sufficient to allow for the purchase of the indicated quantity of services. This
Contract may be modified to accommodate a reduction in funds;
B. If Federal or state laws, rules, guidelines, or regulations me modified, changed, or
interpreted in such a manner that the hardware, software, or services are no longer
allowable or appropriate under this Contract;
C. If any license or certification required by law or regulation for the provision of the services
under this Contract is for any reason denied, revoked, suspended, or not renewed;
D. If Mueller becomes insolvent, if voluntary or involuntary petition in bankruptcy is filed by
or against Mueller, if a receiver or trustee is appointed for Mueller, or if there is an
assignment for the benefit of creditors of Mueller; or
E. If Mueller fails to maintain reasonable relations with the public. Verbal abuse, threats, or
other inappropriate behavior towards member of the public constitutes grounds for
termination.
Payment of Mueller shall be as provided by ORS 279C.660 and shall be prorated to and include
the day of termination and shall be in full satisfaction of all claims by Mueller against City under
this Contract.
Termination under any provision of this paragraph shall not affect any right, obligation, or liability
of the Parties which accrued prior to such termination.

ARTICLE 14: DEFAULT OR BREACH
The City may terminate this Contract in the event of breach by Mueller. Prior to such termination,
the City shall provide Mueller with written notice of the breach and intent to terminate. If Mueller
has not entirely cured the breech within 15 days of the date of the notice, or within such other
period as the City may authorize or require, then the Contract may be terminated at any time
thereafter by written notice of termination.
The rights and remedies of the City provided in this Article 14 are not exclusive and are in addition
to any other rights and remedies provided by law or under this Contract.
ARTICLE 15: OBLIGATION/LIABILITY OF PARTIES IN EVENT OF TERMINATION OR
DEFAULT
Termination or modification of this Contract pursuant to Article 13 or Article 14 of this Contract
shall be without prejudice to any obligations or liabilities of either party already accrued prior to
such termination or modification. However, upon receiving a notice of termination or
modification, Mueller shall immediately cease all activities under this Contract, unless expressly
directed otherwise by the City in the notice of termination. Further, upon termination, Mueller
shall deliver to the City all Contract documents, information, works -in -progress and other property
that are or would be deliverables and the Contract been completed. The City shall pay Mueller for
Work performed prior to the termination date.
ARTICLE 16: RECORDS
Mueller shall maintain all fiscal records relating to this Contract in accordance with generally
accepted accounting principles and federal circulars (as applicable). Mueller shall maintain any
other records pertinent to this Contract in such a manner as to clearly document Mueller's
performance hereunder. Mueller acknowledges and agrees that the City and its duly authorized
representatives shall have access to such fiscal records and to all other books, documents,
electronic files, papers, plans, and writing of Mueller that are pertinent to this Contract for the
purpose of performing examinations and audits and making excerpts and transcripts. Mueller
further acknowledges that records generated as a result of this Contract may be subject to
disclosure pursuant to the Oregon Public Records Act.
ARTICLE 17: WORK PRODUCT
Except as otherwise provided in the Master Agreement, all work performed by Mueller under this
Contract shall be the property of the City. Mueller shall not use any work or work product resulting
from this Contract without the prior written agreement and consent of the City.

ARTICLE 18: COMPLIANCE WITH APPLICABLE LAW
Mueller shall comply with all federal, state, and local laws and ordinance as applicable to the work
under this Contract. Failure to comply with such requirements is a default for which the City may
terminate this Contract and seek damages and other reliefavailable under the terms of this Contract
or under applicable law. Without limiting the generality of the foregoing, City's performance under
this Contract is conditioned upon, and Mueller expressly agrees to comply with the following
requirements:
A. Mueller shall: make payments promptly, as due, to all persons supplying to Mueller labor
or material for the Work provided for in this Contract; pay all contributions or amounts due
the Industrial Accident Fund from Mueller or any subcontractor incurred in the
performance of this Contract; not permit any lien or claim to be filed or prosecuted against
the City on account of labor or material furnished and pay to the Department of Revenue
all sums withheld from employees pursuant to ORS 316.167 (ORS 279B.220);
B. Mueller shall promptly, as due, make payment to any person, co -partnership, association
or corporation, furnishing medical, surgical and hospital care or other needed care and
attention, incident to sickness or injury, to the employees of Mueller, of all sums which
Mueller collected or deducted from the wages of employees pursuant to any law, contract
or agreement for the purposes of providing or paying for such service. Mueller and all
employees working under this contract are "subject employers" and must comply with
ORS 656.017, unless exempt under ORS 656.126 (ORS 279B.230);
C. Mueller shall pay Mueller's employees who work under this Contract at least time and a
half for all overtime the employees work in excess of 40 hours in any one week, except for
employees under a personal services public contract who are excluded under ORS 653.010
to 653.261 or under 29 U.S.C. 201 to 209 from receiving overtime (ORS 279B235(3);
D. Mueller shall not provide or offer to provide any appreciable pecuniary or material benefit
to any officer, employee or agent of the City in connection with this contract in violation
of ORS Chapter 244 or the City's personnel rules;
E. Mueller shall continue to comply with the tax laws of Oregon or a political subdivision of
Oregon during the term of this Contract, including but not limited to ORS 305.620, and
ORS chapters 316, 317, and 318, and failure to comply with the tax laws of Oregon or a
political subdivision of Oregon before Mueller executed this Contract or during the term
of this Contract is a default for which the City may terminate this Contract and seek
damages and other relief available under the terms of this Contract or under applicable law
(SB 675 (2015));
F. Mueller shall comply with the prohibition set forth in ORS 652.220, and Mueller may not
prohibit any of Mueller's employees from discussing the employee's rate of wage, salary,
benefits, or other compensation with another employee or another person and may not
retaliate against an employee who discusses the employee's rate of wage, salary, benefits
or other compensation with another employee or another person (ORS 279B.235(1)); and

G. Mueller shall comply with the following, as applicable: (i) Title VI and VII of the Civil
Rights Act of 1964, as amended; (ii) Section 503 and 504 ofthe Rehabilitation Act of 1973,
as amended; (iii) the Health Insurance Portability and Accountability Act of 1996; (iv) the
Americans with Disabilities Act of 1990, as amended; (v) ORS Chapter 659A, as amended;
(vi) all regulations and administrative rules established pursuant to the foregoing laws; and
(vii) all other applicable requirements of federal and state civil rights and rehabilitation
statutes, rules and regulations.
ARTICLE 19 LIMITATION OF LIABILITY
A. IN NO EVENT SHALL EI'T'HER PARTY, ITS RESPECTIVE AFFILIATES,
OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR SUPPLIERS BE LIABLE FOR ANY
SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR LOST
REVENUE, LOST PROFITS, OR LOST OR DAMAGED DATA, WHETHER ARISING IN
CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, OF THE OTHER
PARTY OR ANY THIRD PARTY EVEN IF SUCH PARTY HAS BEEN INFORMED OF THE
POSSIBILITY THEREOF.
B. ALL LIABILITY, IN THE AGGREGATE, OF MUELLER, ITS AFFILIATES,
OFFICERS,DIRECTORS,EMPLOYEES, AGENTS, SUBCONTRACTORS AND
SUPPLIERS COLLECTIVELY FOR CLAIMS ARISING UNDER THIS CONTRACT OR
OTHERWISE HOWSOEVER ARISING SHALL BE LIMITED TO THE AMOUNT PAID TO
MUELLER FOR WORK PERFORMED UNDER THIS CONTRACT. THIS LIMITATION OF
LIABILITY IS CUMULATIVE AND NOT PER -INCIDENT.
C. THE WARRANTIES AND REMEDIES STATED HEREIN ARE EXCLUSIVE
AND NO OTHER WARRANTIES OR REMEDIES EXPRESS, IMPLIED OR STATUTORY,
APPLY TO THE HARDWARE, SOFTWARE OR SERVICES TO BE PROVIDED BY
MUELLER UNDER THIS CONTRACT, INCLUDING BUT NOT LIMITED TO
WARRANTIES OR CONDITIONS OF TITLE, NON -INFRINGEMENT,
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY OR
PERFORMANCE, AND ANY IMPLIED WARRANTY ARISING FROM COURSE OF
PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE, ALL OF WHICH
SUBCONTRACTOR EXPRESSLY DISCLAIMS.
ARTICLE 20: GOVERNING LAW
This Contract shall be governed and construed in accordance with the laws of the State of Oregon
without resort to any jurisdictions' conflict of laws, rules, or doctrines. Any claim, action, suit or
proceeding between the City and Mueller that arises from or relates to this Contract shall be
brought and conducted solely and exclusively within the Circuit Court of Jackson County for the
State of Oregon or, if brought in a federal form, then it shall be brought and conducted solely and

exclusively within the United States District Court for the District of Oregon filed in Jackson
County, Oregon.
ARTICLE 21: INDEMNIFICATION
To the extent allowed by law, the City and Mueller shall each defend, indemnify and hold the
other, and their officers, employees, subcontractors, and agents harmless from any and all third -
party claims, suits, actions, or losses arising solely out of the willful misconduct or negligent acts
and omissions of the Party's own officers, employees, or agents while acting under this Contract.
ARTICLE 22: INSURANCE
Mueller and its subcontractors shall maintain insurance acceptable to the City in full force and
effect through the term of this Contract. Such insurance shall cover all risks arising director or
indirectly out of Mueller's Work hereunder, including the operations of its subcontractors.
Insurance provided by Mueller will be primary and noncontributory over any other insurance
maintained by the City. Mueller at its own expense shall provide the following insurance with at
least the following limits:
A. Worker's Compensation insurance of not less than $2,000,000.00 and incompliance with
ORS 656.017, which requires subject employers to provide Oregon workers' compensation
coverage for all their subject workers;
B. Commercial General Liability insurance of not less than $2,000,000.00 for each occurrence
limit, not less than $3,000,000.00 for general aggregate, not less than $3,000,000.00 for
product/completed operations aggregate, not less than $3,000,000.00 for personal and
advertising injury, and not less than $2,000,000.00 for limited job site pollution occurrence
sub -limit. Commercial General Liability insurance include all liability including all major
divisions of coverage including but not limited to: premises/operation, contractual liability
(including coverage for Mueller's indemnity obligations provided for under this Contract
and other contractual indemnity obligations assumed by the contractor), personal injury,
and broad form property damage (including coverage for explosion, collapse, and
underground hazards). The policy shall be endorsed to have the general aggregate apply
only to this Project.
C. Comprehensive Automobile Liability including coverage for all owned, hired, and non -
owned vehicles of not less than $2,000,000.00 for each occurrence with a combined single
limit of $3,000,000.00 and not less than $3,000,000.00 for aggregate bodily injury and
property damage or not less than $2,000,000.00 for each person bodily injury, not less than
$2,000,000.00 for each occurtence bodily injury, not less than $2,000,000.00 each
occurrence property damage, and not less than $2,000,000.00 for each occurrence pollution
occurrence sub -limit.
The City, its officers, directors, and employees shall be added as additional insured with respect
to this contract. All liability insurance policies will be endorsed to show this additional coverage.

Coverage provided by Mueller must be underwritten by an insurance company deemed acceptable
by the City. The City reserves the right to reject any or all insurance carrier(s) with an unacceptable
financial rating.
The minimum liability limits required may be satisfied through the combination of the primary
general liability, employer's liability, and automotive liability limits with an umbrella liability
policy (with coverage no more restrictive than the underlying insurance) providing excess limits
at least equal to or greater than the combined primary limits.
As evidence of the insurance coverage required by this Contract, Mueller shall famish all
Certificates of Insurance to the City. This Contract shall not be effective until the required
certificates have been received and approved by the City. Certificates of Insurance should read
"Insurance certificate pertaining to the Contract for Nmne ofProiect". Renewal certificates must
be provided to the City at least 10 days prior to the expiration of coverage. There shall be no
cancellation, material change, reduction of limits or intent not to renew the insurance coverage(s)
without 30 days' written notice to the City from Mueller.
ARTICLE 23: WARRANTIES
Mueller represents and warrants to the City that: (i) Mueller has the power and authority to enter
into and perforin the Contract, (ii) the Contract, when executed and delivered, shall be a valid and
binding obligation of Mueller enforceable in accordance with its terms, and (iii) all Work shall be
guaranteed by Mueller for a period of one year after the date of final acceptance of the Work by
City and Mueller's performance under this Contract shall be in a good and workmanlike manner
and in accordance with the professional standards.
All Work by Mueller shall be subject to the warranties provided by Mueller in the Master
Agreement, attached hereto as Schedule 3, and Warranties, attached hereto as Schedule 5, and
incorporated by this reference.
ARTICLE 24: HAZARDOUS MATERIALS AND WASTE DISPOSAL
Mueller shall supply the City with a list of any and all hazardous substances used in performance
of this Contract. That list shall identify the location of storage and use of all such hazardous
substances and identify the amounts stored and used at each location. Mueller shall provide the
City with material safety data sheets for all hazardous substances brought into City property,
created on City property or delivered to the City pursuant to this Contract. For the purposes ofthis
section, "hazardous substance" means hazardous substances as defined by ORS 435.307(5).
Mueller shall complete the State Fire Marshall's hazardous substance survey as required by ORS
453.317 and shall assist the City in completing any such survey that it may be required to complete
because of substances used in the performance of this Contract.

If, as a result of performance of this Contract, Mueller generates any hazardous waste, Mueller
shall be responsible for disposal of any such hazardous waste in compliance with all applicable
Federal and state requirements. Mueller shall provide the City with documentation, including all
required manifests, demonstrating proper transportation and disposal of any such hazardous waste.
Mueller shall defend, indemnify, and hold harmless the City for any disposal or storage of
hazardous wastes generated pursuant to this Contract and any releases or discharges of hazardous
materials.
ARTICLE 25: TIME IS OF THE ESSENCE
Mueller agrees that time is of the essence in completing the work.
ARTICLE 26: FORCE MAJEURE
Neither party hereto shall be liable for delays in performance under this Contract by reason of fires,
floods, earthquakes, acts of God, wars, strikes, embargoes, necessary plant repairs or replacement
of equipment, of any other cause whatsoever beyond the control of such party, whether similar or
dissimilar to the causes herein enumerated. This clause does not include causes related to water
supply and demand planning or failure to engage in such planning.
ARTICLE 27: SEVERABILITY
The Partes agree that if any term or provision of this Contract is declared by a court of competent
jurisdiction to be illegal or in conflict with any law, the validity of the remaining terms and
provisions shall not be affected, and the rights and obligations of the Parties shall be construed and
enforced as if the Contract did not contain the particular term or provision held to be invalid.
ARTICLE 28: SURVIVAL
The terms, conditions, representations and all warranties contained in this Contract shall survive
the termination or expiration of this Contract.
ARTICLE 29: NONWAIVER
The failure of the City to insist upon or to enforce strict performance by Mueller of any of the
terms of this Contract or to exercise any rights hereunder shall not be construed as a waiver or
relinquishment to any extend of its right to assert or rely upon such terms or rights on any future
occasion.
ARTICLE 30: EXECUTION AND COUNTERPARTS
This Contract may be exercised in several counterparts, each of which shall be an original, all of
which shall constitute but one and the same instrument.

Notice required by this Contract must be given in writing by personal delivery or mail, at the
address given provided by the Parties for their respective party representatives in Article 6 above
unless some other means or method of notice is required by law. Each party will notify the other
of any change of address.
ARTICLE 32: INTEGRATION
This Contract represents the entire understanding of the City and Mueller as to those matters
contained herein. No prior oral or written understanding shall be of any force or effect with
respect to those matters covered herein. This Contract may not be modified or altered except in
writing signed by both parties.
IN WITNESS WHEREOF, the parties hereto have caused this Contract to be signed by their
proper officers on the dates noted below.

1. Introduction
This Scope of Work document serves as an overview of the work to be performed for the City of Central
Point (the City) to complete the deployment of the Mi.Net AMI System. This Scope of Work outlines
the responsibilities of Mueller Systems and the City required for a successful implementation of an
Advanced Metering Infrastructure ("AMI") system encompassing approximately 8,000 meter services.
2. Scope of full AMI System
The hardware that makes up the Mueller Systems' Mi.Net AMI system that shall be delivered and
installed by Mueller within the City will consist of the following:

Collectors are Multi -Network, and shall be provided with Mi.Net communication protocol, which also
includes hardware for future migration to LoRaWANTOA communication protocol (requires firmware
upgrade). Repeaters will be shipped as operable for Mi.Net communication protocol ONLY
(LoRaWANTM' capable repeaters not currently available). Depending upon when the City elects to
migrate to LoRaWANTM, there will be additional expenditures required to upgrade the repeaters to

3. Hardware Delivery
Hardware delivery will be scheduled at the time of order entry. Hardware delivery will be incorporated
into the project schedule once it is available. The Owner will issue purchase orders for product in order
for delivery in time to meet installation schedule. Lead times will vary, based upon the product and our
production backlog, and averages between 4 to 8 weeks. Therefore, a minimum stock level of 12
weeks' worth of product inventory will be onsite during meter installations to avoid stock out. [As per
Mueller Systems Standard Warranty (see Schedule 5, Attachment A in the Contract), warranty period
begins on date of shipment to Customer.] Shipment orders to be placed with full truck capacity to
minimize freight costs. Software and services will be billed in accordance with the Schedule 2: Pricing
Sheets. Mueller Systems recommends that the Owner maintains stock of a minimum of 1% total project
volume for spares. Storage of project materials is assumed to be provided by Owner.
4. Hardware Installation — Network Infrastructure
Mueller Systems will complete the installation of all required Mi.Hubs (MNDC) and ancillary equipment
for locations where Mi.Hubs (MNDC) have been sited. If proposed locations are not suitable for any
reason, Mueller Systems will work with the City to find alternate locations. New locations will replace

the old and be installed as required. Descriptions of the proposed sites, equipment, assumptions and
placements are included as Appendix A: Propagation Study. Mueller Systems will conduct final site
surveys and develop a Final Network Design following contract execution. Both parties will review and
approve network design inclusive of locations, assumptions, etc. prior to installation of network
equipment.
A Mueller representative that meets the experience requirements of the Project Manager will be onsite
during installation and testing of the hardware.
5. Hardware Installation — Meters & Mi.Nodes
5.1
The City staff will install meters and/or retrofit Mi.Nodes onto existing meters.
5.2
MI.Nodes will be connected to water meters by the City following the Mi.Node installations manual,
provided under separate cover. City staff will be trained by Mueller Systems.
The AMI network for the City has been designed around specific Mi.Node installation locations. All
installations will be completed in accordance with the installation assumptions listed in the Final
Network Design that will be developed according to Appendix D -Endpoint Acceptance Plan. Mueller
Systems will not guarantee on time or on -demand read performance to Mi.Nodes that are installed in a
manner contrary to these installation assumptions, as they are installed outside the scope of the
network design.
6. AMI Software Integration
Mueller Systems and the City will complete the CIS and Billing software integration. This effort will
consist of collaboratively determining requirements, creation of a Software Integration Plan including
acceptance criteria that will be reviewed and approved by representatives of both Mueller Systems and
the City.
The City is currently using Springbrook rev 7.15. It is currently a Progress database, but the City is
converting to a SQL database (expected completion by June 2018). After the project kick-off meeting
the CIS and Billing software integration will begin. The software integration plan labeled as AMI
Integration Plan is attached as Appendix B.
7. AMI Software Integration — 3rd Party Systems
Mueller Systems and the City intend to integrate AMI data from Mi.Host with the following 3rd party
vendors and products: Cartegraph (Asset Management) and Laserfiche (document management and
forms). These integrations with Cartegraph and Laserfiche are not expected to happen in the first year
after initial deployment. The scope of integration and potential costs will be defined separately at a
later time.
8. Consumer Portal
The City desires to implement a consumer portal at some point in the future. The scope of integration
is included in Appendix H -Consumer Portal Requirements and costs are included in Schedule 2: Pricing
Sheets.

9. Fixed Leak Detection
The City desires to implement a leak detection solution via fixed network at some point in the future.
The scope of integration and potential costs will be defined separately at a later time.
10. Mueller Responsibilities
Mueller will appoint a Mueller Employee to act as Project Manager. The Project Manager must meet the
following minimum experience requirements:
• 5 years of experience with furnishing,installing, and servicing Mueller AMI Water Meter systems.
• Experience as Project Manager on a minimum of five municipal AMI projects for Mueller systems
that included collector installation and that have been operating for over 1 year.
• Required experience for these projects includes startup and testing of five complete Mueller AMI
systems including, but not limited to collectors, endpoints, analytics, integration with billing
software and data storage.
The Project Manager will coordinate all Mueller Systems' activities. The Project Managerwill serve as a
single point of contact and work to:
• Develop the detailed Project Plan
• Will remain with the project until completion of demonstration phase. Thereafter Mueller Systems
tasks will be supported by an AMI Analyst in the Network Operations Center.
• Coordinate tasks needed to develop the CIS Integration Plan
• Develop Project Schedule
• Working closely with the City to:
o Develop Installation Plan
o Provide training
o Track Project Milestones and Deliverables
• Coordinate Project Communications and Status Updates
The detailed implementation steps are described below:
• Mi.Host Server Hosting - Mueller Systems will host the server for Mi.Net AMI server.
• Network testing will be conducted to ensure all AMI network infrastructure, including MI.Hubs
(MNDC), MI.Net AMI server, and interconnectivity is working correctly. These results will be shared
with the City.
• User Training - All training will be conducted onsite at a facility identified by the City. Classroom
and field training is supported by using the actual system; for that reason, the training is broken
down into two phases:
o Initial Systems Familiarization to support installation, CIS interface development, and project
monitoring. This initial training will be provided during the installation phase to all the City
employees identified by the City. This training will be completed by onsite Mueller Systems
project managers. The agenda and attendees will be developed in coordination with the City.

o Formal Classroom Training on the system will be scheduled by the Project Manager with
coordination of the City.
11. The Cityrs Responsibilities
The City's responsibilities will be:

mutually agreed upon with the City after contract award.
Meeting may be held onsite or by teleconference established by Mueller and a Calendar invite will be
sent to the City project manager. This schedule can be adjusted after the primary deployment starts
and progresses, as necessary.
Weekly project updates will be held until the network infrastructure is built and full deployment has
started. After reads are available, the CIS interfaces are complete, and billing is successful, the meetings

13. Training
Introduction to the Mueller Systems Advanced Metering Infrastructure class describes the advantages
of using an AMI system. The class covers the Mi.Net engineered system and its components. The Mi.Net
User Interface is described in detail including creating reports, setting up alerts, generating on demand
reads, billing interface, and how the consumer can access meter information. An overview of the
Network Monitoring Tool will also be covered. Training shall be provided to ensure competency of the
City designated staff to provide for system operation and functionality. Mueller Systems shall provide
training and assess staff competency throughout the training process and provide feedback and
direction regarding ongoing training requirements throughout the implementation. All training will be
conducted onsite a facility identified by the City. See Appendix E- Mi.Net AMI Training Agenda for
further details.
14. System Acceptance
14.1 Software Acceptance
The Mi.Host Software components are accepted when MI.Host software interfaces per Appendix B
have been completed and placed into production and Demonstration Phase Complete.
14.2 Final System Network Test
When all infrastructure equipment listed in the Final Network Design has been installed, Mueller
Systems shall commence a system network test to validate network coverage of the service territory.
Upon completion and acceptance of the system network test, the Owner will assume responsibility for
the installed network equipment in accordance with Appendix G- Network Infrastructure Acceptance.
15. Software Maintenance and Support
Mueller Systems will provide the City, the maintenance and support services described below:
• Updates to the Software, meaning subsequent releases, versions or modifications purchased by
the City or generally made available to its current customers for the Software. Updates include
changes and corrections to the Software as are required to keep the Software in substantial
conformance with the applicable Documentation and corrections Mueller Systems creates for
defects in the Software. Updates shall not include any release, option or future product that
Mueller Systems licenses separately in the future. Mueller Systems shall in its sole discretion
determine the nature, content, timing and release of any updates.
• Web -based support, consisting of information on the most current release of the Software through
Mueller Systems' website.
• Phone support in the form of advice and counsel via telephone regarding the City's use and
operation of the Software. Phone Support shall be provided from 5:00 AM to 4:00 PM (Pacific
Standard Time), Monday through Thursday, and 5:00 AM to 3:00 PM on Friday, exclusive of
holidays observed by Mueller Systems.
16. Schedule
The project will be broken into phases. The first phase will consist of installation of the collectors and
initial testing of the system as outlined below in the Demonstration Phase. The following phases will

consist of installation of endpoints for the City's system. The number of endpoints per year and where
they will be installed will be identified in the detailed project schedule. It may take over five years for
the City to install all endpoints. The cost of the endpoints and ancillary equipment will be the cost and
adjustments per year shown on the Pricing Sheets.
Initial Project Schedule Timeline
Within 30 days following contract execution, Mueller Systems will coordinate with the Owner to develop a
detailed project schedule. Mueller Systems recommends that the project team coordinate closely with all
involved stakeholders to plan and execute a Demonstration Phase as an early part of the project to prove out
installation procedures, data transfer between MI.Host and associated systems and end to end system

1. Scope Summary
The City is implementing Mueller Systems AMI software (Mi.Host) for water service. The utility's billing
system, Springbrook Software, will interface with MI.Host for the following items:
• Customer Data Synchronization (CIS Upload File)
• Meter Data Synchronization(Meter Swap File)
• Billing Data Exchange (Billing Request / Response Files)

• If multiple meters exist at one site, each meter is accounted for via unique meter location ID
3. Interface Scope
3.1 Detailed Process Description
Before installation of meters can commence, the City must provide a complete CIS Upload file which will
be used to sync Mi.Host to the billing system. This file will contain all customer relevant information
needed for the installation process. If at any point, during or after the installation is completed, the
customer data changes (e.g. customer move, new construction, etc.), the City will provide a subsequent
CIS file for upload in order to maintain consistency between the databases and for accuracy during the
billing process. The CIS file will be uploaded manually using the Mi.Net User Interface for the Initial and
any update files.
Once the installation of meters has commenced, the meter swap file can be generated within the Mi.Net
User Interface. The initial meter swap file will include all old and new meter information for meters that
have been added or swapped during the installation. After the installation has completed, the meter swap
file can be generated at any time for any timeframe within the Mi.Net User Interface for meter additions,
swaps and removals.
The City will be notified of when the billing interfaces have been completed and Mi.Host can accept the
billing request file. The request file will contain all records that are ready for billing and MI.Host will return
a billing response file that includes the most recent read for the date range requested.

This section contains the logic, customizations, data elements and file formats for each interface identified
forthis software implementation.

3.2.1.1 Customer Data Synchronization (CIS File)
The CIS File includes all relevant customer information from the City to MI.Host and will be provided as a
comma separated value (CSV) file. The file will contain the following fields:

For any field within the user interface (except unique meter location ID/Unique ID), if a value is not passed,
it will be stored as 'Unknown' or as a blank value. (NOTE: if any of these values are updated on the
handheld during the install process, they will be passed and updated in the database as well).
The initial CIS file should be provided to Mueller Systems and will be used to populate the Mi.Host
database manually. Any changes to the customer information after installation should be passed to
MI.Host in the same file format. (NOTE: for changes after installation, Mueller Systems can either accept
a full extract or just changed information).
If the file format needs to be changed for any reason, Mueller Systems must be noted of this in order to
make the appropriate configuration changes before the file is uploaded.

The new meters initial read is assumed to be the value of 0. If the new meter's initial read is something
otherthan 0, then the read will need to be entered by the installerand will be passed into the'New Read'

The file can be generated within the MhNet user interface at any point after meter installation begins.

The billing interface will consist of 2 file exchanges. The billing request will be sent by the City to Mi.Host
requesting reading information for specified customers, and the billing response will be sent from MLHost
to the City with the associated meter read data. Both files will be passed as comma separated value (CSV(

In the case that no reading exists for a particular unique meter location ID for the requested date range,
a'cell' will be created. The cell can then be downloaded to the handheld device in order forthe field to
take manual reads. Once this process is complete and the handheld is synced, the manual read
information is passed to Mi.Host. A billing request file can now be uploaded and the 'Process for
finalization' button can be selected.
The response file will now include all reads including the manual reads taken prior to the finalization
process.

Final Reads for Move Outs:
The billing request and response files are designed to provide billing information at the end of a billing
cycle. Final Reads for move -outs and other off -cycle events can be readily acquired using the MI.Net
User Interface on -demand read functionality. With just two mouse clicks the Customer Service
Representative can obtain a read at anytime desired.
4. Testing / Acceptance
Mueller Systems will complete a full test cycle for all files internally within the CIA group. Once
successfully tested by the CIA group, Mueller Systems must complete all installation, startup, and staff
training on all software before the interfaces are delivered to the City for user acceptance testing. 30
days prior to delivery, Mueller Systems shall submit a user acceptance testing plan to the City for
approval. The City will have 30 business days after date of delivery to test and report any defects or
deviations to the interfaces. Automatic acceptance of the interfaces occurs if no issues are reported
within the 30 business day warranty period. If any issues are identified by the City, the warranty period
referenced herein shall be extended by an additional 30 days from the date on which Mueller Systems
has resolved the identified issues.

Mueller Systems Endpoint Acceptance Plan (EAP) MI.NL� 1
1. Objective
The objective of the EAP is to verify that the AMI System will operate and meet or exceed the criteria set forth in
this Exhibit. The parties will jointly administer the EAP. For all tests below, Mueller Systems will calculate the
applicable performance requirements using the existing software features within the AMI System. Unless stated
otherwise below, any disputes regarding the performance of the AMI System shall be settled using meter read data
from the Mi.Host database.
Testing will generally commence within 30 days of when the following activities have been completed:
1. All MI.Nodes and meters physically installed
2. Network infrastructure installed
3. Mi.Nodes have been configured for reporting
4. Mi.Host is configured and collecting data
Note:
• Before beginning the Test Procedure, all equipment (Mi.Nodes, network equipment, etc.) must be
installed in locations defined in the network system design.
• The Utility may choose to waive testing if it believes that such testing is unnecessary. Should any test be
waived, such test shall be deemed to have passed.
• This plan can be administered by Mueller Systems or the Utility.
2. Test Procedure
1. Mueller Systems notifies the Utility of readiness to commence testing.
2. Mueller Systems and the Utility mutually agree upon start date and test duration.
3. Mueller Systems will provide written test results within 5 days of the conclusion of the test.
4. If test results fall within performance criteria set forth below, Mueller Systems will provide writtennotice
of successful completion. The Utility shall review written notice of completion within 10 business days. If
Utility does not agree that the completion criteria have been met, it is Utility's responsibility to provide
written details as to what and how the services have not conformed within (10) business days. If no
response provided from Utility to Mueller Systems within 10 days of notice of completion issued, the
results will be deemed accepted and maintenance responsibility will passto the Utility atthattimeforall
Mi.Nodes and meters from the installing entity. (Network infrastructure is accepted via separate
procedure.).
5. If test results fall outside of the performance criteria set forth below, Mueller Systems will attempt to
determine root cause of non -reporting Mi.Nodes utilizing Mi.Host network tools.
6. Non -reporting Mi.Nodes after step 5 will be investigated by the installing entity. If this investigation
determines that a given Mi.Node is not reporting due to site specific or installation related conditions(for
example, homeowner has obstructed or vandalized Mi.Node) , or non-responsive (warranty failure)
Mi.Nodes, the installing entity shall take steps to remediate.
7. If, following steps 5 and 6, Mueller Systems determines that a given Mi.Node is not reporting due to lack
of network coverage, then Mueller Systems shall take steps to remediate via re-routing or updated
network coverage.
R. When sufficient remediation has been completed, begin the test procedure over again.

2.1. Test Performance Criteria

Performance Criteria is 98.5% reads during the applicable Billing Window`
Performance Criteria =100 x ([Successful Communications] / [Expected Communications])
' Billing Window means the span in days, no shorter than 3 days, during which a valid meter read must
be obtained to properly bill a customer. Successful Communications is defined as a billing read available
in MLHost. Expected Communications is defined as a billing read from each active account in Mi.Host.
The denominator, "Expected Communications", in the formula above will be modified to adjust for the following
conditions:
1. Damaged meter or Mi.Node for example: meters with tamper, theft or other human induced failuresthat
render the meter or MLNode Module incapable of providing a read.
2. Other Installation Defect—the unit is otherwise installed improperly so that it does not communicatewith
the network infrastructure.
3. Meter or MI.Node has been identified for the Utility to remediate.
4. Mi.Node is serviced by network infrastructure that has been subjected to a power failure greater than
eight (8) total hours within the last 3 days.
S. Illegal or unauthorized jamming of the radio spectrum is preventing or interfering with radio
communications.
6. Data Base errors—the Mi.Node is removed from the field but not removed from the Mi.Host database.
7. MI.Node is dependent on Mi.Node that has been identified for the Utility to remediate.
8. A Mi.Node or the network equipment that serves a Mi.Node has been affected by a Force Majeure event.
"Force Majuere" means (a) acts of God; (b) flood, explosion, fire, earthquake or other natural disasters;
(c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil
unrest; (d) government order or law; (e) actions, embargoes, or blockades in effect on or afterthe date of
this Agreement; (f) action by any governmental authority; (g) national or regional emergency; (h) strikes,
labor stoppages or slowdowns, or other industrial disturbances; (i) shortage of adequate power or
transportation facilities; and [Q) other events beyond the reasonable control of the party impacted.
The EAP test procedure can be applied to the entire population or maybe applied to a subset of meters based on
network layout, geographic region, or meter reading routes as mutually agreed upon by Mueller Systems and the
Utility.

practices and procedures on how to replace failed MI.Hub components. This training will be performed onsite at
the Utility office.

Introduction
This document was designed to officially turnover the maintenance and troubleshooting of all network
infrastructure to the owner/distributor. Mueller Systems follows a strict standard operatingprocedures
(SOP) while designing and deploying our Advanced Metering Infrastructure (AMI) systems. This
document identifies deliverables outlined in Mueller Systems SOP during the Network Infrastructure
deployment phase of the project. Within 15 of successful completion of these deliverables, your Mueller
Systems Project Manager will complete this document and present to you for signature/acceptance.

Appendix A
This document contains basic troubleshooting steps to diagnose an unresponsive collector. Some
procedures apply to both Mi.Hub XR-R and XR collectors. Referenced images are at the end of this
document
J0\ CAUTION: Before performing any steps, power
down the Mi.HYb by disconnecting both power
sources as shown in Image 1 IAC Power) and Image 2(Battery Power) )
1. Twist the blue connector (Image 1 above) and pull out the
power cable coming from the collector so that AC power
connection is disconnected.
2. Remove the cover of the collector with a Philips head
screwdriver.
3. Locate and disconnect the 139 connector from the Battery
Pac section of the board (Image 2 right).
Note that upon completion of steps 1 and 2 all LED lights
on the electronic boards should turn off.

Collector Does Not Respond to Messages from Network Management Tool (NMT):
Symptoms: The NMT cannot communicate with Mi.Hub XR or XR-R. When using NMT to send a [3.1.3)
Get Firmware Info message, the message fails.
*This is typically an issue with backhaul: 3G modem or the Ethernet port.
Requirements: NMT (Routing Tool) Note: User of the NMT will require proper training and an internet
connection.
Troubleshooting steps:
Power -cycle the collector as described below. Before you begin, please consult with the Network
Operations Center prior to performing these steps.
Confirm power
1. Confirm that there is power going to the collector by checking the power LED light at the bottom
of the hub shown in Image 4. If the light is on, proceed to the next step; otherwise correct AC
power issue. Wait 3 minutes and test again.
Disconnect power
2. Disconnect the main power source (Image 1above).
3. Disconnect the DC backup battery (Image 2 above).
4. Wait approximately minutes.
Resupply power
5. Reconnect the DC backup battery (Image 2 above).
6. Reconnect the main power source (Image 1 above) and wait 3 minutes.
Test communication
7. Using the NMT, send a [3.1.3] Get Firmware Info message to the collector.
8. If collector is still unresponsive contact the Network Operations Center (NOC) to assist with
troubleshooting and to perform tests on service provider's network.
NMT Can Communicate with Mi.Hub but Mi.Hub Cannot Communicate with
Endpoints:
Mi.Hub XR ONLY
To determine the type of collector you have, check the red label on the Hub, similar to the label shown
in Images 3A and 3B.
Symptoms: The NMT can send and receive messages to/from the Mi.Hub, but the Mi.Hub cannot
communicate with first -hop repeaters or endpoints.
Requirements: Network Management Tool. Note: User of the NMT will require proper

training and an internet connection.
Troubleshooting steps:
Disconnect power
1. Disconnect the main power (AC) source (Image 1 above).
2. Disconnect the DC backup battery (Image 2 above).
Check weatherproofing and connections
3. Inspect all connection points for proper weatherproofing or signs of damage. If connections and
weatherproofing appear to be okay, proceed to Step 4.
a. Otherwise, weatherproof or repair the connections. power up the collector.
b. In the NMT, select a first -hop node or repeater to send a message to. (Target should have
a green line to it.) Test communication by sending a [3.1.10] Get Received Signal Strength
message to the endpoint.
I. If communication is successful, this indicates the node or repeater has received a
message from the Mi.Hub. End test procedure.
ii. If communication is not successful, proceed to Step 4.
Disconnect power
4. Disconnect both AC and DC as described in Steps land 2.
5. If this unit has a polyphaser (Image 6A), remove it from the circuit: Unscrew the RF cable from
the top of the polyphaser and connect it to the RF connector at the bottom of the hub (Images
6B and 6C).
Reconnect power
6. Power up the collector: Reconnect the DC back up battery (Image 2 above) and reconnect the
main power source (Image 1 above). Using the NMT, test the communication by sending a
[3.1.10] Get Received Signal Strength message to a first hop endpoint or a first -hop repeater.
a. If the message is successful send a [3.1.10] Get Received Signal Strength message to a few
other first -hop repeaters and endpoints and test if the signal strength has recovered.
I. If the signal strength has improved, install anew polyphaser and new short RF
cable.
ii. If signal is not improved, the antenna or the long RF cable should be replaced with
new equipment.
1. First replace the antenna and test the signal strength as described above.
2. If the signal strength has not improved, replace long RF cable.
Mi.Hub XR-R ONLY
To determine the type of collector you have, check the red label on the Hub, similar to the label shown
in Images 3A and 3B.
Symptoms: Symptoms: The NMT can send and receive messages to/from the VILHub, but the Mi.Hub
cannot communicate with first -hop repeaters or endpoints.

*This is typically a hardware issue with one of the following: Hub, Amplifier, Antenna, RF short cable (the
cable from bottom of the collector to polyphaser or filter), RF long cable (the cable from polyphaser or
filter to antenna or amplifier at top of pole/tank), polyphaser or filter.
Requirements: T Load Tester (shown in Image 3B. To order, call NOC), DC voltage tester and NMT
(Routing Tool).
Troubleshooting steps:
Disconnect power
1. Disconnect the main power (AC) source (Image 1 above).
2. Disconnect the DC backup battery (Image 2 above).
Check weatherproofing and connections
3. Inspect all connection points for proper weatherproofing or signs of damage. If connections and
weatherproofing appear to be okay, proceed to Step 4.
a. Otherwise, weatherproof or repair the connections, then power up the collector.
b. Using NMT, select a first -hop node or repeater to send a message to. (Target should have
a green line to it.) Test communication by sending a [3.1.101 Get Received Signal Strength
message to the endpoint.
I. If communication is successful, this indicates the node or repeater has received a
message from the Mi.Hub. End test procedure.
ii. If communication is not successful, proceed to Step 4.
Test voltage
4. Connect the main power (AC) source (Image 1 above).
5. Connect the DC back up battery (Image 2 above).
6. Once the collector has been powered up, use a DC voltage tester (Image 7) to test the voltage
coming from the test leads on the T Load Tester provided by the NOC. If the voltage is between
14.Ov and 14.8v DC, then the hub is working as intended and complete the rest of the test. If
voltage is outside that range, the Mi.Hub should be replaced.
Disconnect power
7. Disconnect both AC and DC as described in Steps 1 and 2.
8. If this unit has a polyphaser (Image 6A), remove it from the circuit: Unscrew the RF cable from
the polyphaser and connect the end of the cable connected at the top of Polyphaser to the RF
connector at the bottom of the hub (Images 6B and 6C).
Reconnect power
9. Power up the collector: Reconnect the DC back up battery (Image 2 above) and reconnect the
main power source (Image 1 above). Using the NMT, test the communication by sending a
[3.1.10] Get Received Signal Strength message to a first hop endpoint or a first hop repeater. If
the message is successful send a [3.1.10] Get Received Signal Strength message to a few other
first hop repeaters and endpoints and test if the signal strength has recovered.

a. If the signal strength has improved, install anew polyphaser and new short RF cable.
b. If signal is not improved, the antenna or the long RF cable should be replaced with new
equipment.
I. First replace the antenna and test the signal strength.
ii. If the signal strength has not improved replace long RF cable.
10. If the amplifier at the top of pole is accessible: Check that the RX LED on the filter (inside of the
amp enclosure (Image SA)) is lit green and that TX LED blinks red when a message is sent (Image
5B). If the RX is not lit or the TX is not lighting up (when sending a message) then the amplifier
will need to be replaced. If all amp tests pass, the antenna and or long RF cable will need to be
replaced. Start out by replacing the antenna and test the signal strength, if the signal strength
has not improved replace the long RF cable.
Checking RF Cables and Connectors
This section describes testing using a multimeter's Continuity feature to test for short-circuits inside a
cable. These steps can be used for any of the cables used in the collector installation.
Symptoms: The XR-R collector receives NMT messages but has low to no signal to the endpoints or
infrastructure. This is typically a hardware issue with one of the following: Hub, Amplifier, Antenna, RF
short cable (the cable from bottom of the collector to polyphaser orfilter), RF long cable (the cable from
polyphaser or filter to antenna or amplifler at top of pole), polyphaser orfilter.
*The cable being tested must be detached on both ends from the Mi.Hub or amplifier.
Requirements: Multimeter with Continuity functionality (or Ohms to read opens and shorts),
hand tools to remove and replace damaged / bad connectors.
Materials that may be needed: Appropriate sized cable and connectors for replacement as needed,
weatherproofing material, tie straps or other cable securing devices.
Troubleshooting steps:
Disconnect both ends of the RF Cable from the amplifier and Hub/Lightning Arrestor (On XR-R) or from
Hub to Filter / Antenna (On XR)
Test for NO continuity between inner pin and connector— Using multimeter set to Continuity
1. Attach one of the meters leads to the center pin of the cable.
2. Touch the other lead to the outer surface of the cable's male TNC connector (images).
a. Verify the multimeter does not beep. This indicates the cable is OK and there is no short
between the leads.
b. If the multimeter beeps, there is a short; the cable is bad and should be replaced.

Test continuity between cable's center pins - Using multimeter set to Continuity
1. Attach one of the multimeter's leads to the center pin of the cable.
2. Touch the other lead to the center pin on the other end of the cable.
a. Verify the multimeter beeps (Image 8). This indicates the inner cable is OK.
b. If the multimeter does not beep (no continuity), there is a break or damage to the inner
cable.
1. Physically check the cable to see if there is any external or physical damage to the
sheathing of the cable that might indicate damage to the conductor.
ii. If necessary, replace the cable.
Test continuity between TNC connectors - Using multimeter set to Continuity
1. Attach one of the meter's leads to the outer surface of the TNC connector.
2. Touch the other lead to the outer surface of the TNC connector at the other end of the cable.
a. Verify the multimeter beeps. This indicates the inner cable is OK.
b. If the multimeter does not beep (no continuity), there is a break or damage to the outer
cable.
I. Physically check the cable to see if there is any external or physical damage tothe
sheathing of the cable that might indicate damage to the conductor.
ii. If necessary, replace the cable.

Introduction
This Consumer Portal Integration document serves as an overview of the work to be performed for the
City of Central Point (the City) to complete the deployment of the Consumer Portal Integration. The City
is interested in deploying the Consumer Portal at a yet to be determined time in the deployment. This
Scope of Work outlines the responsibilities of Mueller Systems and the City required for a successful
integration of the Consumer Portal
Standard Implementation and Timeline:
Project Initiation
The Project Initiation processes ensures both Mueller Systems and the City agree on the deliverables of this
project, the responsibilities, deliverables, milestones, and timelines for completion. Mueller will facilitate
weekly check-in calls through the project initiation phase of the portal implementation. This phase begins
with a kick off meeting and concludes when planning is complete.
Key deliverables:
• Kickoff Meeting: Establish roles and responsibilities and confirm the project goals and timeline.
o Completion Date: 2-4 weeks from approved SOW
o Utility Commitment: 4-8 hours for preparation and conducting the meeting
• Data Reouirement Review: Assist utility as needed to complete data survey to document, billing,
meter, and account protocols.
o Completion Date: 2A weeks from approved SOW
o Utility Commitment: 8 hours
• Data Transfer Plan: Mueller Systems project staff, the City IT staff, and whoever else maybe
relevant will review data requirement. The meeting results in a Data Transfer Plan.

• Kev Planning & Permissions: The City PM will be responsible for completing/approving a Mueller
Systems provided program planning document including program participation details, utility

Data Transfer and File Validation
The Data Transfer & File Validation process ensures both Mueller Systems and the City agree on how data

• File Validation: The City and Mueller Systems will transfer representative sample data files to
validate and finalize the file format, data, extraction, and transfer process agreed in the Data
Transfer Plan.

marketing messaging.

MUELLER SYSTEMS
MASTER AGREEMENT
THIS MASTER AGREEMENT (this "Agreement") is entered into this day of
_ between MUELLER SYSTEMS, LLC, a Delaware limited liability corporation having its
principal offices at 10210 Statesville Blvd, Cleveland North Carolina 27013 (referred to in this Agreement
as "Mueller Systems" or "Provider"), and (referred m in this
Agreement as "Customer"). This Agreement governs the sale by Provider and the ___chase by Customer
for its own use and not for resale o£ as applicable, Equipment Software, Documentation and other items
related to advanced metrology infrastructure systems. In the event of any conflict or inconsistency between
the terms and conditions of this Agreement and terms and conditions of any other agreement or document,
the terms and conditions of this Agreement shall govern and control and the conflicting or inconsistent terms
and conditions me hereby rejected. In consideration of the mutual obligations set forth in this Agreement,
Customer and Mueller Systems agree as follows:
DEFINITIONS.
a "Content" means the information
developed or legally acquired by Customer which
may be used in connection with or accessed by
any module of the Software.
b. "Documentation" means the user
guides, reference manuals, and installation
materials provided by Provider to Customer
related to the Software and Equipment.
C. "Equipment" means the components,
devices, products, equipment and related items
Provided by Provider identified in Aonendix A.
d. "Services" means activities related to
deployment and installation services, repair
services, hosting services and technical
support/maintenance services as provided by
Mueller Systems and as identified in Appendix
e. "Software" means the object code
versions of Mueller Systems' software identified
in Appendix together with all subsequent
authorized updates, replacements, modifications
or enhancements.
SOFTWARE
a. Software on Eeuinmem License. For
Equipment purchased by Customer from Mueller
Systems, Mueller Systems hereby grants
Customer a limited, non-exclusive, non-
sublicemable, non -transferable, perpetual,
irrevocable license in use and execute the
Software embedded in the Equipment for its
internal business purposes in connection with
such Equipment ("Fbmwam ).
b. Online Software Access, Subject to the
terms of this Agreement and the payment of the
fees specified in Section 6a herein, Mueller
Systems grants to Customer, for its internal
business purposes and timing the term of this
agreement, a limited non-exclusive, non-
sublicensable, non -transferable right to access and
use and make available to Customer's utility
users, as applicable, and/or employees the online,
hosted Software specified herein.
C. Restrictions. Except as specifically and
expressly permitted in writing by Mueller
Systems, Customer shall not (i) violate any
restriction set forth in this Agreement; (ii) modify,
translate, de -compile, reverse compile,
disassemble, or create or attempt to create, by
reverse engineering or otherwise, the source wile
from the object wile of the Software; (iii) adapt
the Software in any way for use to creme a
derivative work; (iv) include or combine the
Software in or with any other software; or (v) use
the Software to provide processing services to
third parties or on a service bureau basis. Except
as expressly permitted in this Agreement,
Customer may not copy the Software other than
to make one machine readable copy for disaster
recovery or archival purposes. Customer may
only make copies of Documentation as reasonably
necessary for the use contemplated herein and
with proper inclusion of Mueller Systems'
copyright notices.
d. Ownership. This Agreement does not
grant to Customer any ownership interest in the
Software or Documentation. Customer has a
license o use the Software and Documentation as
provided in this Agreement. Customer hereby
agmes and acknowledges that Mueller Systems
owns all right, title, and interest in the Software
and Documentation, and Customer will not
contest those rights or engage in any conduct
contrary to those rights. Any copy, modification,
revision, enhancement adaptation, translation, or
derivative work of or created from the Software
and Documentation made by or m the direction of
Customer shall be owned solely and exclusively
by Mueller Systems, as shall all patent rights,
copyrights, trade secret rights, trademark rights
and all other proprietary rights, worldwide.
e. Reservation. Mueller Systems reserves
all rights not specifically granted order this
Agreement.
3. EQUIPMENT Inconsidemtionofthe
fees set forth in Appendix D of this Agreement,
Mueller Systems will provide the Equipment
identified in Appendix A.
4. SERVICES In consideration of the
fees set forth in Appendix D of this Agreement,
Mueller Systems will provide the Services
identified in Appendix B.
5. CONFIDENTIALITY The
Software, Equipment and Documentation,
including my ideas, concepts, know-how and
technology contained therein, shall be considered
the proprietary and confidential information of
Mueller Systems and, as such, shall be subject to
the confidentiality provisions of this Agreement.
If a separate, written non-disclosurre agreement
exists between Mueller Systems and Customer,
such agreement will control and will apply
according to its terms and conditions to all
confidential information the parties exchange
with each other. If no separate, written non-
disclosure agreement exists between Mueller
Systems and Customer, the terms listed in
Appendix C will apply to the confidential
information the partes exchange with each other.
FEES AND PAYMENT
a. Software Fees. Customer shall pay
the Software fees set forth in Appendix D of this
Agreement.
b. Equipment Fees. Customer shall pay
the Equipment fees set forth in Appendix D ofthis
Agreement Title to the Equipment, except the
Software and Documentation that are subject to
licenses provided in this Agreement, passes from
Mueller Systems to Customer when Mueller
Systems ships the Equipment.
C. Service Fees. Customer shall pay
the Service fees set forth in Appendix D of this
Agreement
d. Taxes. All prices and fees are in U.S.
dollars =less otherwise specified. All amounts
payable =der this Agreement are exclusive of all
sales, use, value-added, excise, property,
withholding, and othertaxes and duties. Customer
will pay all taxes and duties assessed by any
authority in connection with this Agreement and
with Customer's performance, hereunder.
Customer will promptly reimburse Mueller
Systems for my and all taxes or duties that
Mueller Systems may be required to pay in
connection with this Agreement or its
performance. This provision does not apply to
taxes based on Mueller Systems' income, or any
taxes for which Customer is exempt, provided
Customer has furnished Mueller Systems with a
valid tax exemption certificate.
e. Pavment. Unless provided
otherwise herein, Customer agrees to pay all
amounts specified in Appendix D or otherwise
due under this Agreement within thirty (30) days
after the date of invoice. Past due amounts will
shall bear interest from the due date until paid at
a rate of (i) one and one-half percent (1.5%) per
month or (ii) the maximum rate permitted by law,
whichever is less. All payments made under this
Agreement shall be nonrefundable, except as
specifically provided otherwise in this
Agreement.
TERM; TERMINATION
a. arm. The term of this Agreement is
one (1) year commencing upon the date of this
Agreement This Agreement will automatically
renew for subsequent, successive one (1) year
periods at thethen-current Mueller Systems prices
=less either party gives the other party written
notice of its intent to not renew at least thirty (30)
days prior to the expiration of the then current
term. Mueller Systems may increase support fees
at my time on thirty (30) days prior notice to
Customer. Within such thirty (30) days,
Customer may terminate the Agreement by
providing written notice to Mueller Systems.
b. Tennlnationfpr Breach. Ifeitherparty
breaches this Agreement, and such breach is not
cured within ten (10) days of the breach, after
receiving written notice, the non -breaching party
may terminate this Agreement, including all
licenses provided herein, effective upon written
notice to the other party. The breaching party
agrees that ifit breaches this Agreement, the non -
breaching party will be entitled to injunctive or
similar equitable relief and that the breaching
party will not argue in any proceeding that its
breech will not cause irreparable harm to the non -
breaching party or that the non -breaching party
can be adequately compensated for any such harm
by any remedies other than by injunctive relief.
C. Effect of Termination. Termination
of this Agreement shall have the effect designated
in Appendix B

of this Agreement or any license granted
hereunder shall not limit the remedies otherwise
available to either party, including injunctive
relief
e. Survival. Unless otherwise
stated herein, any provision that, by its nature or
terms, is intended to survive the expiration or
termination of this Agreement, will survive.
8. LIMITED WARRANTIES; REMEDIES
a. Software Subject to the
exclusions herein, including those in Appendix A
Mueller Systems warrants that commencing from
the data of shipment or provision to Customer and
continuing for the period set forth in Appendix A
(the "Warranty Period"), (i) the media on which
the Software is furnished will be free ofdefacts in
materials and workmanship under normal use;
and (it) the Software will perform substantially in
conformance with the applicable Documentation
provided to Customer by Mueller Systems.
Mueller Systems does not warrant that the
Software will operate in combinations with other
software, except as specified in the
Documentation, that the Software will meet the
Customer's requirements or that the operation of
the Software will be uninterrupted or error -free.
Customer assumes responsibility for taking
adequate precautions against damages which
could be caused by defects, interruptions or
malfunctions in the Software or the hardware on
which it is installed. Mueller Systems' entire
obligation and Customer's exclusive remedy with
respect to the Software warranties set forth above
shall be, at Mueller Systems' option, to either (x)
repair or replace any Software containing an error
or condition which is reported by Customer in
writing to Mueller Systems which causes the
Software not to conform with the warranty set
forth herein; or (y) refund a pro -rated amount paid
by Customer to Mueller Systems and terminate
this Agreement and all licenses provided herein.
b. Services. Mueller Systems warrants that
all services provided by it to Customer under this
Agreement shall be performed in a workmanlike
manner. Mueller Systems' entire obligation and
Customer's exclusive remedy with respect to the
Service warranties set forth above shall be the re -
performance of the applicable nonconforming
Service.
a Epuipmenl Subject to the exclusions
herein, including those in Appendix A. Mueller
Systems warrants to Customer that the Equipment
will comply with provided specifications for the
periods specified in Appendix A. Claims under
this Section will be considered if submitted to
Mueller Systems within sixty (60) days following
the discovery of any noncompliant Equipment
covered by this Agreement and provided Mueller
Systems or its agents are permitted a
commercially reasonable opportunity to examine
and analyze the Equipment claimed to be
noncompliant. Mueller Systems' entire obligation
and Customer's exclusive remedy with respect to
the Equipment warranties set forth herein, at
Mueller Systems' option, is repair or replacement
of any Equipment found noncompliant, subject to
the terms and conditions herein, during the
applicable warranty period after such Equipment
is properly packaged and retuned prepaid to
Mueller Systems' designated service center.
d. C=. Any and all costs associated with
uninstalling and shipping noncompliant
Equipment and Software and installing
replacement Equipment and Software will be the
responsibility of Customer.
C. Exclusions. The warranties provided by
Mueller Systems shall not apply to Equipment
and/or Software which: (i) have been altered,
except with the express written consent,
permission or instruction of Mueller Systems, (it)
have been used in conjunction with another
product resulting in the defect, except for those
third party products specifically approved by
Mueller Systems, (iii) were other than the most
current version of the Software (but only to the
extent that any failure of the Software would have
been avoided by the use of the most current
version), (iv) have been damaged by improper
environment, abuse, misuse, accident, negligence,
act of God, excessive operating conditions, or
unauthorized attachments or modifications, (v)
have not been properly installed and operated in
accordance with the Documentation, or as
otherwise instructed by Mueller Systems, or (vi)
any other exclusion set forth in any Appendix
hereto.
f. DISCLAIMERS. TO THE EXTENT
PERMITTED BY APPLICABLE LAW, THE
WARRANTIES AND REMEDIES STATED
ABOVE ARE EXCLUSIVE AND NO OTHER
WARRANTIES OR REMEDIES EXPRESS,
IMPLIED OR STATUTORY, APPLY TO THE
DOCUMENTATION, THE SOFTWARE, THE
EQUIPMENT OR ANY SERVICES TO BE
PROVIDED BY MUELLER SYSTEMS
UNDER THIS AGREEMENT, INCLUDING
BUT NOT LIMITED TO WARRANTIES OR
CONDITIONS OF TITLE, NON.
INFRINGEMENT, MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE,
QUALITY OR PERFORMANCE, AND ANY
IMPLIED WARRANTY ARISING FROM
COURSE OF PERFORMANCE, COURSE OF
DEALING OR USAGE OF TRADE, ALL OF
WHICH MUELLER SYSTEMS EXPRESSLY
DISCLAIMS.
9. INDEMNIFICATION. Mueller
Systems will indemnify and defend Customer
from any third party claim that the Software and
Equipment infringe on another person's or
company's patent, copyright or other intellectual
property right as specified in this Section This
indemnity does not cover and specifically
excludes (a) intellectual property rights
recognized in countries and jurisdictions other
than the United States, and (b) claims relating to
infringement of intellectual property rights by a
third party's products and software. Mueller
Systems has no obligation under this Section for
any claim to the extent it results from or arises out
of Customer's modification of the Equipment or
Software or from any combination, operation or
use ofthe Software or Equipment with other third
party products or services. Mueller Systems' duty
to indemnify under this Section is contingent
upon Mueller Systems receiving prompt notice of
a claim and Mueller Systems' right to solely
control resolution of a claim. Customer's sole
remedy for an indemnified claim under this
Section is as follows: Mueller Systems will, at its
expense and in its discretion either (a) resolve the
claim in a way that permits Customer's continued
ownership and use of the affected Software and
Equipment, (b) provide a comparable, non -
infringing replacement at no cost to Customer, or
(c) accept return of the Software and Equipment,
provide a reasonable depreciated refund and
terminate this Agreement and all licenses herein.
This Section is the exclusive statement of Mueller
Systems' liability and responsibility for
indemnifying Customer for infringement of
intellectual property rights
10. LIMITATION OF LIABILITY.
a. MUELLER SYSTEMS' MAXIMUM
LIABILITY HEREUNDER IS EXPRESSLY
LIMITED TO THE TOTAL AMOUNT PAID
FOR THE SOFTWARE, SERVICES, AND
EQUIPMENT IN THE IMMEDIATELY
PRECEDING TWELVE (12) MONTHS AND
WILL UNDER NO CIRCUMSTANCE
EXCEED THE AMOUNT PAID BY
CUSTOMER IN THE IMMEDIATELY
PRECEDING TWELVE (12) MONTHS FOR
THE SOFTWARE, SERVICES AND
EQUIPMENT PROVIDED BY MUELLER
SYSTEMS UNDER THIS AGREEMENT. Some
states do not allow the limitation and/or exclusion
of liability for incidental or consequential
damages, so the above limitation may not apply.
b. The provisions of this Agreement
allocate the risks between Customer and Mueller
Systems. Mueller Systems' pricing reflects this
allocation of risk and the limitations of liability
specified herein.
IL NOTICE. All notices required to
be given hereunder shall be in writing. Notice
shall be considered delivered and effective upon
receipt when sent by registered or certified mail,
return receipt requested, addressed to the parties
as set forth above. Either party, upon written
notice, may change any more or address to which
future notice shall be sent.
12. GENERAL. The Software will not
be exported or re-exported in violation ofany
export provisions ofthe United States or any
other applicable jurisdiction. The rights and
obligations ofthis Agreement are personal rights
granted to the Customer only. The Customer
may not transfer or assign any ofthe rights or
obligations granted under this Agreement to any
other person or legal entity. Any such purported
transfer or assignment shall be null and void.
Mueller Systems will be free of liability to the
Customer where Mueller Systems is prevented
from executing its obligations under this
Agreement in whole or in part due to force
majea m, such as earthquake, typhoon, Flood, fire,
and war or any other unforeseen and
uncontrollable. Any modification or amendment
to any of the provisions of this Agreement will
be in writing and signed by an authorized officer
of each party. This Agreement does not create or

between the parties. Headings are inserted for the
convenience of the parties only and are not to be
considered when interpreting this Agreement.
The validity of this Agreement and the rights,
obligations, and relationship of the parties
resulting from same will be interpreted and
determined in accordance with the law of the
State of Delaware, and applicable federal law,
without regard to its choice of law provisions.
The parties specifically exclude from application
to the Agreement the United Nations Convention
on Contracts for the International Sale of Goods
and the Uniform Computer Information
Transactions Act. If any provision of this
Agreement is contrary to and in violation of any
applicable law, such provision will be considered
null and void to the extent that it is contrary to
such law, but all other provisions will remain in
effect. The waiver or failure of either party to
exercise any right herein shall not be deemed a
waiver of any fiuiher right hereunder. This
Agreement constitutes the entire agreement
between the parties with respect to the subject
matter hereof and supersedes all other prior and
contemporary agreements, understandings, and
commitments between the parties regarding the
subject matter of this Agreement.

Warranty
LIMITED WARRANTY FOR MUELLER
Product Warmnh
Subject to the limitations and conditions set forth herein, Mueller Systems warrants that commencing form the date
of shipment m the Customer and continuing for the period set forth in Attachmeat A (refered to as the "Warranty
Period"); (a) the Equipment will be free from defects in materials and workmanship under normal use, installation
and service conditions; (b) the media on which the Software is famished will be free of defects in materials and
wodemanshipundernormaluse and (c) the Software substantially conforms to the applicable published Mueller Systems
fractional specifications for the Software. Except as provided for in Attachment A Mueller Systems will, at its option,
either repair or replace the Product if it malfunctions or becomes inoperable due to a defect in workru mtship or
materials during the Warranty Period. If in its sole disention Mueller Systems determines that it is unable to repair
or replace the Product, it will refund to Customer a pro -rated amount paid for the defective Product Products that are
repaired or replaced under this Warranty will be wartanWd for the remainder of the original Warranty Period or 30 days,
whichever is longer.
Exclusions
It, in Mueller Systems' sole judgment, a Product has been subject to misuse, neglect or accident or has been
damaged through abuse, alternation, improper installation or application, failure to follow Mueller Systems' operation
or maintenance instructions or negligence in torromrtatme, handling, or storage, or repaired by anyone other than
Mueller Systems or it authorized personnel, this Warranty will not be applicable. For Software, this Warranty will
not apply if there has been a change to the Software's operating envuonmenl not made or authorized by Mueller
Systems; Customer fails to install any correction or enhancement provided by Mueller Systems; or a vhus is
introduced through no fault of Mueller Systems. This Warranty will also act cover damage due to acts of God, power
failures, lightening fire, fold, severe weather, hailstomns, insect and pest infestation, and other events reasonable
beyond Mueller Systems' control.
Prndect Retrms
Claims order this Warranty will be considered if submitted to Mueller Systems within 60 days following the discovery
of any defect covered by this Warranty and provided Mueller Systems or its agents are permitted a commercially
reasonable opportunity m examine and analyze the material or workmanship claimed b be detective. If Mueller Systems
elects to repair the Product, Customer will send it, properly packaged, to a repair facility designated by Mueller
Systems. Customer will pay the cost of returning defective Products to the place of repair designated by Mueller
Systems and Mueller Systems will pay the cost of delivering repaired or replacement ProductsIn Customer.
Limits of Warranty and f.iability
Damage to persons or property or other loss or injury resulting from defects in the Products or from improper
installation or use shall not be the responsibility of Mueller Systems. Mueller Systems will not under any
cinamstane, be liable for any indirect, special, incidental or consequential damages of any resume, whether based
on contract, tort or other legal theory including bat not limited to, business interruption tests, loss of profit or
revenue, loss of data, Ions of one of services, cos[ of capital, cost of substitute services or facilities, downtime
costs or damages and expenses arising out of third -party claims, even if Mueller Systems has been advised of the
possibility of such damages. In all cases, Mueller Systems' total liability will be limited m the bond payments
made by Customer to Mueller Systems for the Products and services provided.

Receiver, PitStop handheld receivers, TRuReadma remotes, laptops PC's, Server Hardware and all other
peripheral electronic products are covered by a one (1) year warranty from the date ofshipment to Customer.
Radio Modules –Mi.Nodera water modules and Hot Rode" modules are covered by a ten (10) year warranty
from the date of shipment to Customer. Additionally, Mi.Node water modules and Hot Rod- modules are
covered by a prorated womanly for years eleven (1 I) through fifteen (15) at a fifty -percent (50%) discount,
years sixteen (16) through twenty (20) at a twenty -five -percent (25%) discount. Mi.Hydront and Repeater
Transceivers are covered by a ten (10) year warranty from the data of shipment to Customer. All prorated
warranty credits listed will apply to list pricing in effect at the time ofthe return.
Encoder Register Products– Hersey TranslatorTia Encoder registers, Hersey SSR Solid State Register, ME -
8 Encoder registers, Wall Pads and Pit Pads are covered by aten (10) year warranty from the data ofshipment
to Customer. Additionally, the complete unit is covered by a prorated womanly for years eleven (I1) through
fifteen (15) in a fitly -percent (50%) discount, years sixteen (16) through twenty (20) at atwenty-five-percent
(25%) discount from the date of shipment in Customer. All prorated warranty credits listed will apply to list
pricing in effect at the time of the return.
2. Water Metering Products:
Remote Disconnect Meters - The Madel 420 RDM is part of the 400 series of meters and has applicable
coverage shown below for Model 400 meters. In addition, Model 420 RDM has a five (5) year warranty
from the date of shipment to Customer on the valve and solenoid assembly.
Models 400, 500, MVR REM, FM3, HM, and cold -water mechanical meters and detector check models,
EDCIV are covered for a period ofone (1) yew from the date of shipment to Customer.
Model HBMAG electromagnetic cold water meters are covered for a period of (2) years from the date of
shipment.
Maincases for the above listed mechanical meters are covered for a period of twenty-five (25) years from
the date of shipment to Customer.
Standard Registers for the above listed mechanical meters we covered for a period of fifteen (15) yews
from the date of shipment to Customer.
Models 400 and 500 meters perform to AW WA new meter accuracy standards as defined in the most current
revision for a period of five (5) years from the date of shipment to Customer.
Model HBMAG electromagnetic cold water meters perform to AW WA new meter accuracy standard as
defined in the most current revision for a period oftwo (2) years from the date of shipment to Customer

the most current revision for a period of one (1) year from the date of shipment in Customer.
Models 400 and 500 meters perform to AW WA repaired meter accuracy standards for the following time
periods:
5/8" —Fifteen (15) years from the date of shipment to Customer or the registration of 1,750,000 U.S.
gallons, whichever comes first;
3/4" —Fifteen (I5) years from the time of shipment to Customer or the registration of2,000,000 U.S.
gallons, whichever comes first;
I"— Fifteen (15) years from the date of shipment to Customer or the registration of 3,000,000 U.S.
gallons, whichever comes first;
1-12" — Fifteen (15) years from the date of shipment to Custamer or the registration of 5,500,000
U.S. gallons, whichever comes first;
2" — Fifteen (I5) years from the date of shipment to Customer or the registration of 8,500,000 U.S.
gallons, whichever comes first.
Solid State Meters (SSM) Mueller Systems SSM is will meet or exceed accuracy of+/- 1.5% between the
specified minimum flow rate to the specified maximum flow rate for ten (10) years from date of shipment
according to the following sius:
5/8" Meter - 0.1 Spot to 20 glint
5/8" x %-, %" Short, and %" Long Meter — 0.1 to 30 gpm
1" Meter -0.4 to 55 gpm
1 X" Meter— 0.8 to 100 gpm
2" Meter— 0.8 to 160 gpm
The SSM is covered by a prorated warranty for years eleven (11) through fifteen (15) m a fifty -percent (50%)
discoum, years sixteen (16) through twenty (20) at a twenty -five -percent (25%) discount. The prorated
warranty credit listed will apply to list pricing in effect at the time of the remm.
If the above listed meters do not perform as specified, Provider will repair or replace them, at Provider's
option, subject to the following:
An applicable meter shall be noncompliant if it fails to pass an accuracy test, conducted by the customer
according to AW WA standards. If the meter is inoperative because of foreign material, all such material
must be removed prior to testing. A copy of the customer's test results must accompany the meter being
returned. If the customer chooses not to test a meter before resuming it, Provider will repair or replace the
meter at Provider's option after the meter has been tested by Provider. When test is conducted by Provider,
the customer will be charged a reasonable testing fee.
ADnendix B
Services
Software Services and Support Obligations
a. "Update" to the Software means a subsequent release of the Software that Provider makes
generally available to its current customers for the Software. Updates include changes and corrections to the
Software as are required to keep the Software in substantial conformance with the applicable Documentation
and that are created by Provider M corrections for defects in the Software. Updates shall not include any
release, option or future product that Provider licenses separately. Provider shall in its sole discretion
determine the nature, content, timing and release of my Updates.
b. Web -based support, consisting of information on the most current release of the Software
through Provider's web site.
C. Phone support in the form of advice and counsel via telephone regarding Customer's use
of the most current release of the Software, as well as Customer's connectivity and ability to access Content
Phone Support is provided from 8:00 AM to 7:00 PM Eastam Time, Monday through Thursday and 8:00
AM to 5:00 PM Eastern Time on Fridays. All hours and days exclude recognized U.S. holidays observed by
Mueller Systems.
Software Hosting Services
a Except as specifically permitted in this Agreement, Customer shall have web -based access
the Software hosted by Provider pursuant to this Agreement.
b. Provider shall provide Customer with access and related hosting services to the Software
installed on Provider's servers. Provider will also install the Content provided by Customer. Provider will
define the appropriate performance specifications and will host the server at a Provider's location. Provider
will monitor and perform routine maintenance on the server, and if the server is not operating properly, will
make a good faith effort to operate Customer's system on a backup server, if available. Access to Customer's
server is restricted to authorized Provider information technology and support personnel only. Differential
and full server backups are performed when reasonably practicable.
C. Customer shall be responsible for installing, operating and maintaining the equipment,
software, and/or facilities at Customer location recommended by Provider for effective access to and use of
the Software installed on Mueller Systems server. Customer shall be responsible for providing and
maintaining its own Internet access and all necessary telecommunications equipment at Customer's location
necessary for accessing the Software.
it. Upon termination, for any reason, of the Agreement or any license(s) granted herein,
Provider shall immediately cease providing access to the Software and Hosting Services. Customer shall
(i) immediately stop access and use of all such Provider confidential information (including Software); (ii)
shall return all copies of the Software, Documentation, and any Provider confidential information to
Provider; and (iii) delete all Software, Documentation, and other confidential information off of any and all
storage media possessed or controlled by Customer. Customer shall provide Provider with written
certification signed by an officer of Customer that Customer has complied with the provisions of this
Section. Customer shall immediately pay all amounts due to Provider.

Confidential Information
For purposes of this Attachment, "party" or "parties" shall mean Provider and Customer, including their
respective subsidiaries and affiliates who are providing information under this Agreement. The parties
agree to maintain confidential information as follows:
1. Definition of Confidential Information. The parties understand and agree that confidential
information is any and all current and future Equipment, Documentation and/or Software information,
roadmap, technical or financial information, customer names, addresses and related data, contracts,
practices, procedures and other business information, including software reports, strategies, plans,
documents, drawings, machines, tools, models, patent disclosures, samples, materials and requests for
proposals that may be disclosed between the parties, whether written, oral, electronic or otherwise, however
and wherever acquired ("Confidential Information"). Confidential Information excludes any information
which would otherwise fall in the definitions above, but which was (a) known to the recipient of the
information ("Recipient") before receipt from the disclosing party; (b) publicly available through no fault
ofRecipimt; (c) rightly received by Recipient from a third party without a duty of confidentiality; (d)
disclosed by disclosing party to a third party without a duty of confidentiality on the third party; (e)
independently developed by Recipient without breach of this or any other confidentiality agreement; or (f)
disclosed by Recipient after prior written approval from the disclosing party.
2. Obligations of Confidentiality and Remedies. Recipient agrees to protect the disclosing party's
Confidential Information with the same degree of care, but no less than a reasonable degree of care, as
Recipient uses with respect to its own Confidential Information. Neither party has any obligation to
exchange Confidential Information. Both parties acknowledge and agree that the disclosure of the other
parry's Confidential Information could cause irreparable harm. Therefore, an injured party is entitled to
applicable equitable relief, including injunctions, in addition to other remedies, for such wrongful
disclosure of Confidential Information. In addition, disclosure of Confidential Information required by a
government body or court of law is not a violation of this Section if the Recipient gives prompt notice of
the required disclosure to the disclosing party.
3. Tern of Confidentiality Obligations. Recipient's duty to protect Confidential Information expires
three (3) years from the date of disclosure of the particular Confidential Information.
4. No Warranties on Confidential Information Neither party warrants or guarantees the accuracy of
any Confidential Information transferred between Ne parties.

Models 400, 500, MVR RFM, FM3, HM, and cold -water mechanical meters and detector check models, EDCIV
are covered for a period of one (1) year from the data of shipment to Customer.
Model HBMAG electromagnetic cold water meters are covered for a period of (2) years from the date of shipment.
Maiocases for the above listed mechanical meters me covered for a period of twenty-five (25) years ftom the date of
shipment to Customer.
Standard Registers for the above listed mechanical meters are covered for a period of fifteen (15) years from the date
of shipment to Customer.
Models 400 and 500 meters perform to AW WA new meter accuracy standards as defined in the most current revision
for a period of five (5) years from the date of shipment to Customer.
Model HBMAG electromagnetic cold water meters perform to AW WA new meter accuracy standard as defined in
the most current revision for a period of two (2) years from the date of shipment to Customer.
Models MVR, RFM, FM3, and HM meters perform to AW WA new meter accuracy standard as defined in the most
current revision for a period of one (1) year from the date of shipment to Customer.
Models 400 and 500 meters perform m AW WA repaired meter accuracy standards for the following time periods:

whichever comes first;
3/4"—Fifteen (15) years from the date of shipment to Customer or the registration of 2,000,000 U.S. gallons,
whichever comes fust;
1"—Fifteen (15) years from the date of shipment to Customer or the registration of 3,000,000 U.S. gallons,
whichever comes that;
1-1/2" —Fifteen (15) years from the date of shipment to Customer or the registration of 5,500,000 U.S.
gallons, whichever comes first;
2" — Fifteen (15) years from the date of shipment in Customer or the registration of 8,500,000 U.S. gallons,
whichever comes first.
Solid State Meters (SSM) Mueller Systems SSM is will meet or exceed accuracy of+/- 1.5% between the specified
minimum flow rate to the specified maximum flow rate for ten (10) years from date of shipment according to the
following sizes:
5/8" Meter - 0.1 gpm to 20 gpm
5/8"x ''/.", %" Short, and %" Long Meter— 0.1 m 30 gpm
I" Meter -0.4 to 55 gpm
1 Ya" Meter— 0.8 to 100 gpm
2" Meter— 0.8 to 160gpm
The SSM is covered by a prorated warranty for years eleven (1 t) through fifteen (15) at a fifty -percent (509/6) discount,
years sixteen (16) through twenty (20) at a twenty -five -percent (25%) discount. The prorated warranty credit listed
will apply to list pricing in effect at the time of the return.
If the above listed meters do not perform as specified, Provider will repair or replace then, az Provider's option,
subject to the following:
An applicable meter shall be noncompliant if it fails to pass an accuracy test, conducted by the customer according
to AW WA standards. If the meter is inoperative because of foreign material, all such material mus[ be removed
prior to testing. A copy of the customer's test results most accompany the meter being returned. If the customer
chooses not tc test a meter before ramming it, Provider will repair or replace the meter at Provider's option after the
meter has been tested by Provider. When test is conducted by Provider, the customer will be charged a reasonable
testing fee.
