HomeMy WebLinkAboutRPS Housing Strategy - RVCOGContractual Agreement for the Collaborative Funding of an RPS Housing Strategy This Agreement is between Rogue Valley Council of Governments, hereafter called RVCOG, and the City of Central Point, hereafter called Contributing Funder. Effective Date and Duration This Agreement shall become effective the date on which both parties have signed this Agreement. Unless earlier terminated or extended, this Agreement shall expire when: 1) the RPS Housing Strategy (see attached Scope of Work) has been completed and the terms of the attached ECONorthwest Contractual Agreement have been satisfied OR 2) February 1, 2018, whichever is sooner. 2. Expectations (a) Contributing Funder agrees to provide funding in the amount of $4,873 to RVCOG. I $21,7551 I Phoenix 4,5851 2016 PSU Est. $1,2711 1 Talent I 6,3051 2016 PSU Est. 1 $1,7471 1 White City (JACO) I 7,9751 2010 Census I $2,2101 1 TOTALS 144,3351 I $40,0001 (b) Contributing Funder acknowledges that its ability to comply with the Regional Plan condition requiring the establishment of a Regional Housing Strategy depends on its funding contribution and participation in the process outlined in the attached Scope of Work. (c) Contributing Funder agrees to provide the work products in its possession and control and cooperation required in the attached Scope of Work, and acknowledges that the completion of the tasks in the Scope of Work, within the proposed timeframe, depends on the Contributing Funder's timely and adequate participation. (d) Contributing Funder agrees to the attached Scope of Work, including the details of the work products and project timeline. (e) Contributing Funder agrees to allow RVCOG to manage the contractual relationship with ECONorthwest. (f) Contributing Funder agrees to participate in a Project Steering Committee in order to facilitate the successful completion of the project. 3. Amendments The terms of this Agreement shall not be waived, altered, modified, supplemented, or amended, in any manner whatsoever, except by written instrument signed by both parties. Contributing Funder shall notify the RVCOG's Project Officer (Michael Cavallaro, mcavallaroOrvcoa.oro) in writing thirty (30) calendar days before this Agreement expires of any proposed amendments to this Agreement. 4. Termination A. This Agreement may be terminated by mutual consent of both parties. B. Contributing Funder shall be proportionately reimbursed from unexpended funds if this Agreement is terminated for any reason, including a delay caused by any other participating entity (all participating jurisdictions, ECONorthwest, and RVCOG). In the event that any Task (see attached Scope of Work) is delayed due to any action or inaction of any other participating entity, Contributing Funder shall not be required to contribute additional funds in order for the RPS Housing Strategy to be completed. C. RVCOG may unilaterally terminate this Agreement if it does not receive contributions from all of the participating entities. S. Merger Clause This agreement constitutes the entire agreement between the parties. No waiver, consent, modification, or change of terms of this agreement shall bind either party unless in writing and signed by both parties. Such waiver, consent, modification, or change, if made, shall be effective only in the specific instance and for the specific purpose given. There are no understandings, agreements, or representations, oral or written, not specified herein regarding this agreement. The contributing funder, by the signature below of its authorized representative, hereby acknowledges that he/she has read this agreement, understands it, and agrees to be bound by its terms and conditions. 6. Indemnification Subject to the limitations stated in the Oregon Constitution and the Oregon Tort Claims Act (ORS 30.260 through 30.300), RVCOG shall save, hold harmless and indemnify Contributing Funder, its officers, employees and agents from and against any and all claims, suits, actions, losses, demands, damages, costs, expenses and reasonable attorneys' fees incurred by, arising out of or related to RVGOG's acts or omissions, including, but not limited to intentional misconduct, rectdes s or negligent acts under this Agreement.
